The following license agreement (this "Agreement") is a legal agreement between you (or your company or institution) and Master Mind Group, L.L.C. ("MMG"), the owner of the online product, the Enhanced Learning Network (the "ELN"). ATTENTION: By using the ELN online, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use the ELN.

License

The ELN is licensed to you. It is not sold to you. All right, title and ownership interest, including copyright, in the ELN remain exclusively with MMG. Your use of the ELN is subject to and limited by the terms of this Agreement.

Payment

When not paid for by an employer or MMG partner college, individuals will be charged up-front for their license to the ELN. At the end of the licensing period, individuals will have the option to purchase an additional license to the ELN. Note that there are no refunds for licenses that have already been purchased.

Usage

If you have purchased a single user license, you may access the ELN on any computer system. However, you may not share access to the ELN with any other person.

Restrictions

You may not rent, lease, or share the ELN. You may not copy (in whole or in part), duplicate or create any derivative works residing on the ELN. Any effort to reverse engineer, de-compile, translate, or disassemble the ELN is prohibited to the extent permitted by applicable law.

Abuse

MMG reserves the right to limit the usage of any account if determined solely by MMG that a user is abusing the terms of the licensing agreement. Examples of abuse include but are not limited to sharing accounts, harvesting answers, or otherwise using accounts in any manner deemed solely by MMG to be abusive.

Warranty

The ELN is provided to you on an "AS IS" basis, without any warranties, express or implied, including, but not limited to, warranties of merchantability or fitness for a particular use or purpose.

Limitation of Liability

IN NO EVENT SHALL MMG BE LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE OR KIND WHATSOEVER. MMG’S MAXIMUM AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE.

General

This Agreement constitutes the entire agreement between you and MMG. This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota. The only venue for any claim or dispute arising out of this Agreement shall be in Hennepin County, Minnesota. MMG reserves the right to change the terms and conditions at any time.
